These terms apply to the services of Rauxa Lab, S.L. ("Rosada"): the design and development of websites, AI agents and applications, and related maintenance. Each project is also governed by its written quote; if the quote and these terms differ, the quote prevails. If you are a consumer, the rights the law gives you always apply in addition. To order a service you must be at least 18 years old or act on behalf of a business.

Every project starts with a written quote setting out the scope, price, timeline and payment schedule. Quotes are valid for 30 days. The contract is formed when you accept the quote in writing (email is enough). Work outside the agreed scope is quoted separately before we do it.

Prices are in euros and exclude VAT unless stated otherwise. Unless the quote says otherwise, 50 % is invoiced on acceptance and 50 % on delivery; longer projects may be invoiced by phase. Invoices are due within 14 days. For business clients, late payments accrue interest under Spanish Law 3/2004. Third-party costs (domains, hosting, licences, AI model usage) are paid by the client or passed on at cost, as stated in the quote.

You provide the content, information, feedback and access we need, on time, and you confirm that you have the rights to the material you give us. If input arrives late, the timeline moves accordingly.

The quote states the number of review rounds. When we deliver, you have 10 working days to report defects; after that, or when the work goes live, it is considered accepted. We fix defects in our own work that you report within 30 days of acceptance free of charge.

You can cancel a project at any time by writing to us. You then pay for the work done up to the date of cancellation and for third-party costs already committed; we refund any amount paid in advance beyond that within 14 days. Work that has been delivered and accepted is not refundable, but defects are always fixed as described above.

Maintenance and other recurring services are billed monthly and can be cancelled with 30 days' notice, effective at the end of the billing period. Periods already started are not refunded.

If you are a consumer and the contract is concluded at a distance (for example, by email), you may withdraw from it within 14 days of its conclusion without giving a reason, by sending us a clear statement, for example: "I hereby withdraw from my contract for the following service: [service], concluded on [date]. Name, address, date." We refund all payments within 14 days of receiving it.

If you ask us to start work during the withdrawal period, you pay a proportionate amount for the work done until you withdraw. Once the service has been fully performed with your express prior consent and your acknowledgement that you lose the right of withdrawal, the right no longer applies.

Once the project is paid in full, you own the final designs and code created specifically for you, and we hand over the source code and accounts. Third-party components (open-source libraries, fonts, images, AI models, hosting) remain under their own licences. Rosada keeps its general know-how and reusable tools and grants you a perpetual licence to use them within your project.

We may show the finished project in our portfolio unless you tell us in writing that you prefer we do not.

The AI agents we build run on language models from third parties. We scope them, limit their sources and set safeguards, but AI-generated answers can be incomplete or wrong, so we cannot guarantee that every answer is correct. As the operator of an agent, you are responsible for how it is used with your customers, including telling them that they are talking to an AI.

We work with professional care, but we do not guarantee particular business results such as sales, bookings or search rankings. For business clients, our total liability is limited to the amount paid for the project concerned in the previous 12 months, except in cases of intent or gross negligence. Nothing in these terms limits the rights that the law gives consumers.

We keep your confidential information confidential. If, as part of a project, we process personal data on your behalf, we sign a data processing agreement under article 28 GDPR.
